Welcome to Henry!

Henry is a concierge personal home maintenance service specializing in helping homeowners understand and maintain their homes through various online and offline/on-site solutions designed to simplify your home maintenance experience ("Services"). Our goal is to provide you with a comprehensive view of your home's current condition and to develop a custom routine maintenance plan to keep it in optimal health.

PLEASE READ CAREFULLY, AS THESE TERMS OF USE CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, INCLUDING MANDATORY ARBITRATION, A CLASS ACTION WAIVER AND LIMITATIONS ON LIABILITY.

## 1. Acceptance and Updates to these Terms of Use

By accessing our website or mobile applications and all associated pages (collectively, the "Site")(collectively with Henry Services, the "System"), you (1) agree to be bound by the terms and conditions below, including those defined in Section 1(a) below)(collectively, the "Terms of Use") and enter into a binding agreement with Henry Homes, Inc., a Virginia corporation, and its parent company, subsidiaries, and affiliates ("We", "Our", "Henry" or "Company"); (2) acknowledge that you understand and agree to all of the terms in these terms of use; and (3) certify that you are of sufficient age and mental capacity to enter into the agreement set out in these Terms of Use. Henry reserves the right to change these Terms of Use at any time, and your continued use of this website constitutes agreement to all such changes so it is recommended that you review the Terms of Use on occasion.

IF YOU DO NOT AGREE TO THESE TERMS OF USE, YOU MUST LEAVE THE SITE NOW. If at any time you do not agree with any of the Terms of Use, you must immediately cease your use of the Site.

**1(a).** In addition to these Terms of Use, you also agree to any additional terms and/or Agreements that are specific to any Services offered by or through Henry ("Additional Terms"). Such Additional Terms will not change or replace these Terms of Use unless otherwise expressly stated.

## 2. Eligibility and Privacy Policies

The Site is intended for use by persons over the age of 18 who are legal residents of the United States.

The Site is not directed or intended for use by children under the age of thirteen (13) years and we do not knowingly collect personal information from children under thirteen (13) years from the Site.

Pursuant to 47 U.S.C. Section 230(d) as amended, Henry hereby notifies you that parental control protections (such as computer hardware, software, or filtering services) are commercially available that may assist you in limiting access to material that is harmful to minors. Henry may monitor your use of the Site. Not all Henry Services may be available in all geographic locations.

## 3. Registration and Account Security

Certain areas of the Site are available only to active paying clients of the Henry. To access customer only areas like the Henry Dashboard or Virtual Assistant you will need to know the URL or phone number of each. You are solely responsible for (1) authorizing, monitoring, controlling access to and maintaining the strict confidentiality of your username and password, (2) not allowing another person to use your username or password, (3) any charges or damages that may be incurred as a result of failing to maintain the strict confidentiality of your username and password, and (4) promptly informing Henry in writing of any need to deactivate a username or password because they are no longer useful or necessary.

## 4. Intellectual Property, Your Conduct and Acceptable Use

As between you and Henry, Henry or its associated third parties own all right, title, and interest in and to the copyrights, trademarks, service marks, trade names, and other intellectual property rights associated with the Site. You are permitted to view and retain copies of relevant documents, pages, images or other materials on the Site for your own personal, non-commercial use. You agree that you will not duplicate, publish, modify, create derivative works from, participate in the transfer of, post on the internet, or in any way distribute or exploit the Site, or any portion of the Site, for any public or commercial use without the express written consent of Henry.

## 5. Consent to Receive Communications

By accessing this Site and/or any Henry System, you agree that we (expressly including our affiliates, agents, contractors, representatives, service providers, and any companies working on our behalf) may contact you, including by call(s), text message(s), or email, at any phone number, email address, text number or mailing address you provide to us. When you give us your phone number, you agree that Henry has your explicit permission and consent to contact you at that number. You do not need to consent to be contacted in order to purchase any goods or services from Henry.

## 6. Site Access and Use

Henry reserves the right to withdraw or amend the Site, and any service or material provided on the Site, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Site is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Site, or the entire Site, to users.

## 7. Payment Terms

Payment for Services must be made in accordance with the payment terms presented to you at the time of purchase. All fees are non-refundable unless otherwise specified. Henry accepts various forms of payment including credit cards, debit cards, and other payment methods as indicated on the Site.

You authorize Henry to charge your payment method for all fees incurred in connection with your use of the Services. You are responsible for all charges incurred under your account.

## 8. Cancellation and Refund Policy

**Cancellation:** You may cancel scheduled services by contacting Henry at least 24 hours before your scheduled appointment. Cancellations made less than 24 hours before the scheduled appointment may be subject to a cancellation fee.

**Refunds:** Prepaid hours are generally non-refundable. However, unused hours do not expire and can be used for future services. If you are unsatisfied with the Services provided, please contact us at [support@henryhomes.com](mailto:support@henryhomes.com) to discuss your concerns.

## 9. Service Limitations

Henry provides general handyman and home maintenance services. We do not provide services that require specialized licensing (such as major electrical, plumbing, or HVAC work) unless performed by appropriately licensed professionals in our network. Henry reserves the right to decline any service request that falls outside our scope of services or expertise.

## 10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HENRY, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

## 11. Indemnification

You agree to indemnify, defend, and hold harmless Henry and its affiliates, officers, directors, employees, agents, and contractors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms of Use, or your violation of any rights of another.

## 12. Dispute Resolution and Arbitration

**Mandatory Arbitration:** Except as otherwise provided in this section, you and Henry agree that any dispute, claim, or controversy arising out of or relating to these Terms of Use or the Services shall be resolved exclusively through final and binding arbitration, rather than in court.

**Class Action Waiver:** YOU AND HENRY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

The arbitration shall be conducted in accordance with the rules of the American Arbitration Association. The arbitrator's decision shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.

## 13. Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions. Any legal action or proceeding relating to your access to, or use of, the Site or Services shall be instituted in a state or federal court in Virginia.

## 14. Severability

If any provision of these Terms of Use is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
